Limited liability partnership

Companies House is not yet able to incorporate a UK limited liability partnership (LLP) electronically so we still do that manually. The legal requirements for incorporating a UK Private Limited Company by Shares are as follows:-

• Company subscribers may be residents outside the UK.
• You must appoint a minimum of 1 Director.
• There is no maximum number of Directors.
• Directors can be corporate bodies or private individuals except in the case of single director companies which must have an individual as director.
• A Director can be of any nationality.
• Directors need not be formally trained.
• Appointment of a company Secretary is no longer compulsory but the secretary duties remain
• Secretaries can be corporate bodies or private individuals.
• A Secretary can be of any nationality.
• There is no maximum and no minimum share capital.
• There must be a minimum of one share in issue.
• The maximum is determined by the share capital as specified in the Memorandum.
• The company is required to have a registered office in the UK.
